1. Agreement and Company Information

These Terms of Service (“Terms”) constitute a legally binding agreement between you and Echofold, a company registered in Ireland (“we,” “us,” or “our”).

By accessing or using our services, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access or use our services.

2. Service Description

Echofold provides the following services:

• Custom Software Development — GDPR-compliant internal systems, custom CRM platforms, startup MVPs, and bespoke software built to client specifications
• AI Training — Hands-on training courses covering AI foundations, prompt engineering, AI for business functions, and advanced topics including agentic orchestration
• Hackathons — Corporate innovation hackathons and public sponsored events, designed and managed end-to-end
• Consultation Services — AI implementation guidance, strategy workshops, and technical advisory
• Events & Community — Meetups, workshops, and community events for AI builders and founders

3. Engaging Our Services

When engaging our services, you agree to:

• Provide accurate and complete information in all communications and agreements
• Maintain the confidentiality of any credentials or access provided to you
• Be at least 18 years old or have legal guardian consent
• Comply with all applicable laws and regulations
• Notify us promptly of any changes to your requirements or circumstances that may affect service delivery

4. Pricing, Payment, and Billing

4.1 Software Development Projects

• Projects are scoped and quoted on a per-project or milestone basis
• 50% deposit required upfront before work commences
• Remaining balance due upon completion or at agreed milestone dates
• Change requests outside the original scope may incur additional charges

4.2 AI Training Courses

• 50% deposit upon booking, balance due 7 days before the training date
• Pricing is per course and may vary based on group size and customisation
• All prices include applicable Irish VAT

4.3 Payment Methods

• Bank transfer and credit card payments accepted
• Online payments processed securely via Stripe
• Late payments may result in service suspension until the balance is cleared

5. Consumer Rights and Refund Policy

5.1 EU Consumer Rights

Under the EU Consumer Rights Directive, consumers have a 14-day cooling off period for certain services. Where services have commenced with your express consent within this period, you acknowledge that the cooling off period may no longer apply to work already performed.

6. Acceptable Use

6.1 Permitted Uses

• Use of delivered software and materials for your legitimate business purposes
• Providing content and data you own or have rights to use for project delivery
• Attending and participating in training sessions and events you have booked

6.2 Prohibited Activities

• Reselling — No white-labelling or reselling our services or deliverables without written permission
• Reverse engineering — No attempts to copy, modify, or extract proprietary code or methodologies
• Misrepresentation — No misrepresenting the origin of work delivered by Echofold
• Illegal use — No use of our services for unlawful purposes

7. Service Delivery

• We deliver services using reasonable care and skill as required by Irish law
• Timelines are estimates and may vary depending on project complexity and client responsiveness
• We will communicate proactively if timelines need to be adjusted
• Force majeure events may affect service delivery

8. Data Protection

• Your personal data is processed according to our Privacy Policy
• Client data provided for software projects is handled confidentially and in accordance with any data processing agreement in place
• We implement appropriate security measures to protect your data
• We are not liable for data loss caused by client actions or third-party services outside our control

9. Limitation of Liability

To the maximum extent permitted by Irish and EU law:

• Our total liability is limited to the amount paid by you for the specific service giving rise to the claim
• We exclude liability for indirect, consequential, or special damages
• We do not exclude liability for death, personal injury, or gross negligence
• We do not exclude liability for fraud or fraudulent misrepresentation
• These limitations apply to the fullest extent permitted by applicable consumer protection laws

10. Intellectual Property

• Echofold's proprietary tools, methodologies, and pre-existing code remain our exclusive property
• Custom software developed for you is owned by you upon full payment, unless otherwise agreed in writing
• Training materials and course content remain Echofold's intellectual property and may not be redistributed
• You retain ownership of all content and data you provide to us

11. Changes to These Terms

• We may update these Terms with reasonable notice
• Material changes will be communicated via email or our website
• Continued use of services constitutes acceptance of updated Terms
• Existing contracts and engagements remain subject to the Terms in effect at the time of signing

12. Governing Law and Jurisdiction

• These Terms are governed by the laws of Ireland
• EU consumer protection laws apply where relevant
• Disputes are subject to the jurisdiction of the Irish courts
